Terms of Service

These Terms of Service govern your use of hushthrive.com and any services delivered by HushThrive SRL, a company registered in Romania.

By using the site, booking a free audit, or engaging us as a client, you agree to these terms. Specific client engagements are additionally governed by a dedicated service agreement which prevails in case of conflict.

HushThrive delivers AI implementation services: consulting, web and mobile application development, process automation, AI agents and chatbots, and ongoing support retainers. The exact scope of any engagement is defined in a written service agreement or statement of work.

We reserve the right to decline engagements that are outside our expertise, would conflict with existing clients, or would require us to compromise on quality or security.

We publish indicative prices on our website and scope each engagement with a fixed quote before any work begins. Invoices are issued according to the milestones in the service agreement and are payable within the payment terms stated on the invoice.

Late payments may incur interest as allowed by Romanian law. Repeated late payments may result in work being paused until the account is brought current.

Unless otherwise agreed in writing, all work product we deliver to you as part of a paid engagement becomes your property upon full payment. This includes source code, designs, and documentation written specifically for your project.

HushThrive retains ownership of any pre-existing tools, libraries, and internal frameworks we bring to the engagement, and of general know-how developed through our work. We grant you a non-exclusive license to use those components as part of the delivered solution.

Your own brand, content, and data remain yours at all times.

To do our job well, we need your help. That means giving us access to the information, systems, and decision makers we need in a timely way; reviewing our deliverables and providing feedback within the review windows we agree on; and paying invoices on time.

If work is delayed because of issues on your side, we may need to adjust the timeline accordingly. We will always flag this in writing as soon as it becomes relevant.

We warrant that services will be performed with the skill and care of a professional AI implementation studio. We will fix defects in deliverables reported within 30 days of handover at no additional cost, provided the defect is due to our work and not a change in your environment, requirements, or third-party services.

Beyond this, and to the extent allowed by law, we provide no other warranties, express or implied.

To the extent allowed by applicable law, our total liability for any claim arising from a service engagement is limited to the fees paid to us under that engagement in the twelve months preceding the claim.

We are not liable for indirect or consequential losses, loss of revenue, loss of data, or loss of business opportunity.

Nothing in these terms limits liability that cannot be limited by law.

Either party may terminate a service engagement in accordance with the notice terms in the applicable service agreement. Typical ongoing retainers are terminable with 30 days written notice.

Upon termination, we will hand over work completed up to that date, invoice for any outstanding fees, and delete data that is no longer needed, subject to legal retention requirements.

These terms and any engagement are governed by Romanian law. Any disputes will first be addressed through good-faith discussions between the parties. If a dispute cannot be resolved, the courts of Bucharest, Romania will have exclusive jurisdiction.
